AI JAR Pty Ltd – Terms and Conditions

1. MASTER TERMS

1.1 These Terms & Conditions constitute the master legal framework governing access to and use of the AI JAR Platform and related Services.

1.2 The AI JAR Platform is an artificial intelligence–enabled export intelligence and market strategy platform designed to assist organisations with international market analysis, export planning, product localisation and strategic insights.

1.3 These Terms incorporate multiple Policies governing Platform usage, privacy, data processing, AI governance, and security.

1.4 By accessing or using the Platform, Users agree to comply with all sections of this document.

2. DEFINITIONS

2.1 “AI JAR” means AI JAR Pty Ltd.

2.2 “Platform” means the AI JAR software platform, website, artificial intelligence systems, analytics tools, models and related services.

2.3 “User” means any individual or organisation accessing or using the Platform.

2.4 “Customer” means a User with an active subscription.

2.5 “AI Outputs” means any analysis, insights, recommendations, reports or information generated by the Platform using artificial intelligence.

2.6 “User Data” means data, documents or materials uploaded by Users to the Platform.

2.7 “Services” means all services provided through the Platform including AI‑generated analytics, market intelligence and export planning tools.

2.8 “Policies” means the legal policies incorporated into these Terms including the Terms of Use, Privacy Policy, Acceptable Use Policy, Data Processing Agreement, AI Output Disclaimer, Responsible AI Policy, AI Governance Policy and Security Policy.

3. STRUCTURE OF THESE TERMS

3.1 These Terms consolidate multiple Policies governing the use of the Platform.

3.2 Each Policy addresses specific subject areas including data protection, acceptable use, AI governance and infrastructure security.

3.3 All Policies form part of this integrated legal framework.

5. AI SYSTEM PROTECTION

5.1 The Platform incorporates proprietary artificial intelligence models, datasets, algorithms and analytical frameworks owned or licensed by AI JAR.

5.2 Users must not reverse engineer, replicate, extract training data from, or attempt to reconstruct AI models or system architecture.

5.3 Platform outputs must not be used to train competing artificial intelligence systems.

6. RESTRICTIONS ON MODEL TRAINING

6.1 AI Outputs generated by the Platform may not be used for training machine learning systems.

6.2 Automated scraping, extraction or dataset generation using Platform outputs is prohibited.

7. AI REGULATORY SAFE HARBOUR

7.1 Artificial intelligence technologies are subject to evolving regulatory frameworks across multiple jurisdictions.

7.2 Users remain responsible for ensuring their use of the Platform complies with applicable laws.

7.3 AI JAR may update Platform governance and safeguards as regulatory frameworks evolve.

8. HUMAN OVERSIGHT REQUIREMENT

8.1 The Platform is designed as a decision‑support tool.

8.2 AI Outputs must not be used as the sole basis for decisions with legal, financial or regulatory consequences.

8.3 Users remain responsible for reviewing and validating AI Outputs.

9. GLOBAL AI COMPLIANCE

9.1 AI regulation varies across jurisdictions including the EU AI Act and emerging frameworks worldwide.

9.2 AI JAR aligns its governance practices with recognised global AI principles including transparency, accountability and human oversight.

9.3 Users remain responsible for regulatory compliance in their jurisdiction.

10. PROHIBITED HIGH‑RISK USES

10.1 The Platform must not be used for prohibited high‑risk applications under applicable AI regulatory frameworks including the EU AI Act.

10.2 Prohibited uses include applications that may unlawfully manipulate individuals, conduct social scoring, or create significant harm to fundamental rights.

10.3 Users are responsible for ensuring their use of the Platform does not fall within prohibited AI use categories.

11. PLATFORM TERMS OF USE

11.1 AI JAR PLATFORM TERMS OF USE

11.3 These Terms of Use (“Terms”) govern access to and use of the AI JAR platform (“Platform”) operated by AI JAR Pty Ltd (“AI JAR”, “we”, “our”, or “us”).

11.4 By registering for an account, accessing the Platform, purchasing a subscription, or otherwise using the Platform, you agree to be bound by these Terms.

11.5 If you do not agree to these Terms, you must not access or use the Platform.

11.6 These Terms apply to all users globally.

11.7 1. Eligibility

11.8 You must be at least 18 years old and have the legal authority to enter into a binding agreement to use the Platform.

11.9 If you are accessing or using the Platform on behalf of a company, organisation, or other legal entity, you represent and warrant that:

11.18 Users remain responsible for verifying outputs before making business, regulatory, or commercial decisions.

11.19 3. International Use

11.20 The Platform may be accessed globally.

11.21 Users are responsible for ensuring their use of the Platform complies with applicable laws and regulations in the jurisdictions in which they operate.

11.22 AI JAR makes no representation that the Platform is appropriate or available for use in all jurisdictions.

11.23 Access from territories where the Platform would be unlawful is prohibited.

11.24 AI JAR reserves the right to restrict access to the Platform in certain jurisdictions.

11.25 4. Account Registration

11.26 To access the Platform, users must create an account.

11.27 You agree to:

  • maintain the confidentiality of login credentials
  • immediately notify AI JAR of any unauthorised use of your account
  • accept responsibility for all activities conducted through your account

11.29 Accounts may not be shared with unauthorised users.

11.31 5. Subscription Plans and Fees

11.32 AI JAR offers the following subscription options:

$499 + GST per seat per month

Minimum commitment: 12 months

11.34 Monthly Plan

$899 + GST per seat per month

Cancel anytime

11.35 Subscriptions are billed per user seat.

11.36 All fees are charged in Australian Dollars unless otherwise specified.

11.37 AI JAR reserves the right to modify subscription pricing with reasonable notice.

11.38 6. Billing and Payment

11.39 Payment is required in advance to activate Platform access.

11.40 Annual Plan

11.41 Users committing to the annual plan agree to a minimum 12-month subscription period.

11.42 Early cancellation does not release the user from payment obligations for the committed period.

11.43 Monthly Plan

11.44 Subscriptions renew automatically each month unless cancelled before the next billing cycle.

11.45 If cancellation occurs during a billing cycle, access continues until the end of the current billing period.

11.46 AI JAR reserves the right to suspend access for overdue payments.

11.47 Users are responsible for all applicable taxes associated with their use of the Platform.

11.48 7. Acceptable Use

11.49 Users must comply with the AI JAR Acceptable Use Policy (“AUP”).

11.50 Without limitation, users must not:

  • 11.51 use the Platform for unlawful purposes
  • attempt to reverse engineer or copy AI models or software
  • attempt to extract training data or system architecture
  • share account access with unauthorised users
  • scrape or systematically extract platform data
  • train competing AI systems using Platform outputs
  • resell or commercially exploit Platform outputs without permission
  • upload confidential or regulated information without authority

11.52 AI JAR reserves the right to suspend accounts that breach acceptable use.

11.53 8. Intellectual Property

11.54 All intellectual property rights in the Platform remain the exclusive property of AI JAR.

11.55 This includes:

  • algorithms
  • AI models
  • datasets
  • prompts
  • system architecture
  • workflows
  • templates
  • analytical frameworks

11.57 Users are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform during an active subscription.

11.58 Users retain ownership of the data and documents they upload.

11.59 However, users grant AI JAR a limited licence to process, analyse, store, and transmit such data solely for the purpose of providing and improving the Platform.

11.60 AI-generated outputs may be used internally by the user for business purposes but may not be resold as a competing service.

11.61 9. Data and Confidentiality

11.62 AI JAR treats uploaded documents and project information as confidential.

11.63 AI JAR implements reasonable technical and organisational safeguards to protect user data.

11.64 However, users acknowledge that:

  • 11.65 AI-generated outputs may contain errors
  • automated analysis may produce unexpected results
  • data processing may involve automated systems

11.66 Users remain responsible for reviewing outputs before use.

11.67 AI JAR will not disclose user data to third parties except:

  • where authorised by the user

11.69 10. Export Compliance

11.70 Because the Platform provides export market intelligence, users must comply with applicable export control laws and international sanctions regimes.

11.71 Users must not use the Platform to:

  • conduct transactions involving restricted parties
  • circumvent export licensing requirements

11.73 Users remain solely responsible for ensuring regulatory compliance.

11.83 AI JAR will make reasonable efforts to restore services promptly.

11.84 13. Limitation of Liability

  • the Platform is used unlawfully

11.95 Upon termination, user access to the Platform will cease.

11.96 16. Force Majeure

11.97 AI JAR is not liable for failure or delay in performance caused by circumstances beyond reasonable control, including:

  • infrastructure failures

11.107 Unless otherwise agreed in writing, AI JAR may identify the User or the User’s company as a customer of the AI JAR platform for marketing and promotional purposes.

• referencing the user in case studies or presentations

• including the user in investor or promotional materials

11.110 AI JAR will not disclose confidential business information without the User’s prior written consent.
